Welcome to Afrimall, operated by Greenhouse Industrial Development Group Ghana Ltd (“Greenhouse”). These Terms & Conditions govern your use of Afrimall’s platform as a vendor. By accessing or using Afrimall, you agree to comply with these Terms & Conditions. Please read them carefully.
1. Vendor Agreement
1.1. Registration: To become a vendor on Afrimall, you must register with us. By registering, you agree to provide accurate and up-to-date information about yourself and your products.
1.2. Product Submission: As a vendor, you agree to bring your products to our designated warehouses (malls) located across Ghana. These products will undergo inspection before being uploaded to the Afrimall platform.
1.3. Ownership and Control: Greenhouse Industrial Development Group Ghana Ltd retains ownership and control of all activities related to the products listed on the Afrimall platform. Vendors are granted the privilege to monitor sales and manage their product listings.
1.4. Pricing: Greenhouse reserves the right to adjust prices, including increases or decreases, at its discretion. Vendors will be compensated based on the cost price of their products.
2. B2B Platform
2.1. Business to Business (B2B) Model: Afrimall operates as a B2B platform, catering exclusively to vendors and businesses for selling and buying purposes. Individual consumers without a registered business may not be eligible to sign up as vendors.
3. Product Listings
3.1. Accuracy of Information: Vendors are responsible for ensuring the accuracy and completeness of their product listings. Any misleading or inaccurate information may result in the removal of the listing.
3.2. Product Compliance: Vendors must ensure that their products comply with all applicable laws and regulations in Ghana, including but not limited to quality standards, labeling requirements, and safety regulations.
4. Intellectual Property
4.1. Ownership: Vendors retain ownership of the intellectual property rights associated with their products. By listing products on Afrimall, vendors grant Greenhouse a non-exclusive license to display, promote, and sell their products on the platform.
5. Dispute Resolution
5.1. Grievances: In the event of disputes or grievances between vendors and Greenhouse, both parties agree to engage in good faith negotiations to resolve the issue amicably.
6. Limitation of Liability
6.1. Indirect Damages: Greenhouse Industrial Development Group Ghana Ltd shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of Afrimall.
7. Amendments
7.1. Updates to Terms: Greenhouse reserves the right to modify or update these Terms and conditions at any time. Vendors will be notified of any changes, and continued use of Afrimall constitutes acceptance of the revised terms.
8. Governing Law
8.1. Jurisdiction: These Terms & Conditions shall be governed by and construed in accordance with the laws of Ghana. Any disputes arising from or related to these terms shall be subject to the exclusive jurisdiction of the courts in Ghana.
